These Terms & Conditions (“Terms”) constitute a legally binding agreement between Wynstock LLC (“Wynstock,” “we,” “us,” or “our”) and the individual, company, organization, employer, or other legal entity purchasing or licensing Content from Wynstock (“you,” “your,” or “Customer”). These Terms govern purchases made through wynstock.com, including the licensing, downloading, and use of photographs, video footage, and other digital assets made available by Wynstock. By purchasing, licensing, downloading, or using Content, you agree to these Terms. If you purchase Content on behalf of a business, employer, client, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
1. Definitions
For purposes of these Terms:
- “Content” means photographs, images, video footage, clips, illustrations, graphics, or other digital media made available for license by Wynstock.
- “Licensed Content” means Content for which you have completed the applicable purchase and obtained a valid license.
- “Standard License” means Wynstock's standard commercial license described below and on the Site.
- “Enhanced License” means Wynstock's expanded commercial license described below and on the Site.
- “Editorial Content” means Content identified as editorial or otherwise intended primarily for newsworthy, journalistic, educational, documentary, or public-interest uses.
- “Project” means the end product, campaign, publication, production, website, advertisement, presentation, or other permitted use incorporating Licensed Content.
2. Ownership of Content
All Content remains owned by Wynstock or the applicable copyright owner. Purchasing or downloading Content does not transfer copyright or any other ownership interest to you. You receive only the limited license expressly granted under these Terms and the license type purchased. All rights not expressly granted are reserved.
3. Nature of the License
Unless otherwise stated at the time of purchase, Wynstock licenses are:
- Non-exclusive.
- Worldwide.
- Perpetual for properly licensed uses.
- Non-transferable except as expressly permitted by these Terms.
- Subject to all restrictions contained in these Terms.
A perpetual license means that a permitted use created while your license is valid may generally continue indefinitely. It does not transfer ownership of the Content or authorize new uses outside the scope of the license purchased.
4. Standard License
Unless otherwise specified, Wynstock photos and videos are available under a Standard License. Subject to these Terms, a Standard License permits you to:
Digital and Online Use
Use Licensed Content in websites, blogs, social-media posts, online advertising, email marketing, digital presentations, mobile applications, online publications, digital documents, and streaming or digital programs. Website and social-media use is not limited by the number of ordinary page views unless a different restriction is expressly stated for particular Content.
Print and Reproduction
Reproduce Licensed Content in up to 100,000 copies in uses including marketing materials, brochures, flyers, printed advertisements, corporate publications, packaging, presentations, documents, and publications.
Broadcast and Audience Use
Use Licensed Content in a broadcast, program, campaign, or comparable distribution where the reasonably expected audience does not exceed 100,000 viewers, unless otherwise stated.
Products Where the Content Is Incidental
Licensed Content may be incorporated into a product where the Content is not the primary reason a customer purchases the product and where reproduction remains within the Standard License limit.
Modification
You may crop, resize, color-correct, retouch, composite, add text to, or otherwise modify Licensed Content as reasonably necessary for a permitted Project. Any modification remains subject to the restrictions contained in these Terms.
5. Enhanced License
An Enhanced License includes the rights granted under the Standard License and expands permitted reproduction or audience levels beyond the Standard License's 100,000-copy or viewer limit. An Enhanced License does not transfer copyright and does not remove the general restrictions contained in these Terms.
Unless Wynstock expressly agrees otherwise in writing, an Enhanced License does not permit:
- Resale of the stand-alone Content.
- Redistribution of the source file.
- Use of Content as a trademark or logo.
- AI or machine-learning training.
- False claims of authorship.
- Unlawful, defamatory, or misleading uses.
Any additional Enhanced License rights expressly stated on the applicable Content page or invoice form part of the license.
6. Account and License Holder
A Wynstock account is intended for the individual or entity to whom it is registered. You may not:
- Share your account password publicly.
- Permit unrelated third parties to use your account to obtain Content.
- Resell downloads or account access.
- Circumvent purchase, download, security, or licensing controls.
Where Content is licensed by an employee on behalf of an employer, the employer may use the Licensed Content in accordance with the applicable license.
7. Employees and Contractors
You may provide Licensed Content to employees, contractors, designers, editors, printers, developers, production companies, or other service providers solely to the extent reasonably necessary to complete a permitted Project for you. Any such person must:
- Use the Content only for the applicable Project.
- Not use the Content independently.
- Not retain or redistribute the Content for unrelated purposes.
- Comply with restrictions applicable to the Content.
You remain responsible for their compliance.
8. Client Work
If you are an agency, designer, production company, consultant, or other service provider, you may incorporate Licensed Content into work produced for a single client where permitted by the applicable license. A license may be transferred to that client solely for the completed Project if the applicable license permits such transfer. The same license may not be transferred to multiple unrelated clients. Separate client uses may require separate licenses.
9. Prohibited Uses
Unless Wynstock provides prior written permission, you may not:
- Sell, sublicense, distribute, share, or give away Licensed Content as a stand-alone file.
- Make Licensed Content available for others to download or extract.
- Upload Content to a stock-media library, asset library, marketplace, file-sharing service, or competing content platform.
- Claim that you created or own the original Content.
- Register Content itself as your copyright.
- Use Content as, or as a material part of, a trademark, service mark, logo, trade name, or business identifier.
- Use Content in a way that violates applicable law.
- Use Content in a defamatory, deceptive, fraudulent, obscene, or unlawful manner.
- Use Content to imply that a depicted person endorses a product, company, political candidate, ideology, religion, medical condition, or other sensitive subject unless you have independently obtained all necessary rights and permissions.
- Use Content in pornography or unlawful adult material.
- Use Content to promote hatred, discrimination, violence, or unlawful conduct.
- Remove copyright-management information, watermarks, asset identifiers, or rights information where doing so would violate applicable law.
- Circumvent technological controls used to limit access to Content.
- Use Content beyond the scope of the license purchased.
10. Artificial Intelligence and Machine Learning
Unless Wynstock expressly authorizes it in writing, you may not use Licensed Content:
- To train an artificial-intelligence system.
- To train a machine-learning model.
- To create or improve a generative model.
- As training, validation, benchmarking, or fine-tuning data.
- As part of a dataset offered to third parties.
- To enable a system to reproduce, imitate, or generate substantially similar Content.
This restriction does not prohibit ordinary use of software incorporating AI-assisted editing tools solely to modify Licensed Content as part of an otherwise permitted Project, provided the Licensed Content is not contributed to or used to train the underlying model.
11. Merchandise, Templates, and Products for Resale
Under a Standard or Enhanced License, you may not use Licensed Content in merchandise, templates, or products for resale where the primary value of the product is derived from the Content itself unless Wynstock expressly grants that right in writing. Examples include:
- Posters primarily featuring the image.
- T-shirts or apparel purchased primarily because of the image.
- Art prints.
- Calendars primarily featuring the Content.
- Stock templates.
- Website templates containing extractable Content.
- Digital wallpapers.
- NFTs or comparable digital collectibles.
- Print-on-demand merchandise.
Contact Wynstock if you require rights beyond the Standard or Enhanced License.
12. Editorial Content
Content marked “Editorial” may be subject to additional restrictions. Editorial Content is generally intended for editorial, journalistic, educational, documentary, historical, or public-interest use and may depict recognizable people, private property, trademarks, artwork, architecture, products, or events for which commercial releases have not been obtained. Unless sufficient independent rights have been secured, Editorial Content must not be used in a manner that implies commercial endorsement or sponsorship. You are responsible for determining whether your intended use requires releases, permissions, clearances, or other rights.
13. Model, Property, and Other Releases
Where Wynstock expressly states that a model or property release exists, you may rely on that representation subject to these Terms. Otherwise, the availability of Content for licensing does not automatically mean that every depicted person, property, trademark, artwork, building, design, or other protected element has been cleared for every possible use. You are responsible for determining whether additional permission is required for your intended use. This is particularly important for:
- Advertising.
- Promotions.
- Sensitive subject matter.
- Political messaging.
- Healthcare messaging.
- Implied endorsements.
- Commercial use of Editorial Content.
14. Credit
Unless otherwise stated, commercial use of Licensed Content does not require a credit. Where a credit is legally required or specifically required for particular Editorial Content, the credit should be reasonably visible and substantially in the format specified by Wynstock.
15. Prices and Payment
Prices are displayed on the Site at the time of purchase and may change at any time. You agree to pay the displayed purchase price, applicable taxes, and any other charges clearly disclosed before checkout. A purchase is not complete until payment is successfully processed. Wynstock may cancel or reject a transaction if payment cannot be verified or if fraud, unauthorized use, pricing error, technical error, or other irregular activity is suspected.
16. Taxes
You are responsible for applicable sales, use, value-added, withholding, or similar taxes associated with your purchase, other than taxes imposed directly on Wynstock's income. Where required by law, Wynstock or its payment provider may collect applicable taxes at checkout.
17. Digital Delivery
Licensed Content is generally delivered electronically through download access associated with your account or purchase. You are responsible for maintaining compatible software and equipment, downloading purchased files, retaining appropriate backups of Licensed Content, and maintaining records of your license where appropriate. Wynstock does not guarantee that a particular Content file will remain available for re-download indefinitely.
18. Refunds
Because Wynstock provides downloadable digital products and licenses that may become available immediately following purchase, completed Content purchases are generally final and non-refundable. Wynstock may, in its discretion, provide a replacement, refund, or credit where:
- A purchased file is materially defective.
- The wrong file is delivered.
- A duplicate charge occurs.
- Wynstock is unable to provide the licensed Content.
- A refund is required by applicable law.
A change of mind, failure to use downloaded Content, or purchase of an unsuitable asset generally does not entitle the purchaser to a refund. Nothing in this section limits non-waivable rights provided by applicable law.
19. Content Availability
Wynstock may add, modify, remove, discontinue, or restrict Content at any time. Removal of Content from the Site generally does not terminate a valid license for a use already authorized, unless Wynstock notifies you that continued use presents a legal, intellectual-property, or other material risk. If Wynstock reasonably requests that you discontinue use of particular Content because of a legal claim or rights issue, you agree to cooperate reasonably with that request.
20. Wynstock Warranties
Subject to these Terms, Wynstock warrants that it has authority to grant the rights expressly provided by the applicable Content license. This warranty does not apply to claims arising from:
- Your modification of Content.
- Your combination of Content with other materials.
- Uses outside the purchased license.
- Misleading context.
- Failure to obtain permissions required for your particular use.
- Continued use after Wynstock has notified you to discontinue the Content.
- Use of Editorial Content for unauthorized commercial purposes.
21. Disclaimer of Other Warranties
Except for warranties expressly stated in these Terms and to the maximum extent permitted by law, Content and services are provided “as is” and “as available.” Wynstock disclaims implied warranties including merchantability, fitness for a particular purpose, and warranties arising from course of dealing or usage of trade. Wynstock does not warrant that every Content item will be suitable for every intended use or that use will be uninterrupted or error-free.
22. Indemnification by Customer
You agree to defend, indemnify, and hold harmless Wynstock and its owners, officers, employees, contractors, affiliates, and agents from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising from or relating to:
- Your use of Content outside the applicable license.
- Your breach of these Terms.
- Your unlawful use of Content.
- Your failure to obtain permissions required for your particular use.
- Material you add to or combine with Content.
- Your infringement of a third party's rights.
- Unauthorized use by anyone to whom you provide Licensed Content.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Wynstock will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, goodwill, business opportunity, or data, arising from or relating to Content, the Site, or these Terms. Except where prohibited by law or expressly stated otherwise in a written license agreement, Wynstock's aggregate liability arising from a particular license will not exceed the amount you paid Wynstock for the Content giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded or limited.
24. Copyright and Intellectual Property Claims
If you believe Content available through Wynstock infringes a copyright or other intellectual-property right, contact: info@wynstock.com. Please include sufficient information to identify the allegedly infringing Content and the rights you believe are affected. Wynstock may remove or restrict access to Content while investigating a claim.
25. Suspension and Termination
Wynstock may suspend an account, terminate access, or terminate a Content license if you materially breach these Terms, including through:
- Unauthorized redistribution.
- Account sharing.
- Fraud.
- Copyright infringement.
- License abuse.
- Unauthorized resale.
- Unlawful use.
- Artificial-intelligence training prohibited by these Terms.
Upon termination of a license for material breach, you must stop using the affected Content and delete or destroy copies under your control, except where retention is legally required.
26. Changes to These Terms
Wynstock may update these Terms periodically. Changes generally apply to licenses purchased after the effective date of the updated Terms unless applicable law requires otherwise, the change benefits the customer, or a modification is necessary to address unlawful conduct, fraud, infringement, or an urgent legal or security issue. The terms applicable when Content was purchased will ordinarily govern that license.
27. Governing Law
These Terms and disputes arising from them are governed by the laws of the State of Florida, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
28. Dispute Resolution
Before initiating formal proceedings, you and Wynstock agree to make a reasonable good-faith attempt to resolve the dispute by contacting the other party and describing the issue. Unless prohibited by applicable law, disputes that cannot be resolved informally may be submitted to binding arbitration on an individual basis. No party may pursue claims in arbitration on a class, consolidated, collective, or representative basis unless both parties expressly agree otherwise. Either party may seek temporary or injunctive relief from a court of competent jurisdiction where necessary to prevent actual or threatened infringement, unauthorized use of intellectual property, misappropriation, or other irreparable harm. Nothing in this section limits rights that cannot lawfully be waived.
29. No Waiver
Failure by Wynstock to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
30. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force to the greatest extent permitted by law.
31. Assignment
You may not assign or transfer these Terms or a Content license except as expressly permitted. Wynstock may assign its rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction.
32. Entire Agreement
These Terms, together with the applicable license selected at purchase, any specific terms displayed with particular Content, Wynstock's Terms of Use, Wynstock's Privacy Policy, and any written agreement expressly incorporated into the transaction, constitute the agreement concerning your purchase and license of Content. If specific written license terms conflict with these general Terms, the specific license terms control with respect to that Content.
