Dear Wynstock Customer:
The following Terms of Service (“TOS”) is a legal agreement between you—or the employer or entity on whose behalf you’re entering into this agreement (“you” or “Customer”)—and Wynstock (as defined in Part V Section 24 below). It sets forth your rights and obligations regarding any Content licensed by you.
Please revisit this TOS when you purchase any Content licenses. Wynstock reserves the right to modify the TOS at any time at its sole discretion. Prior to such changes becoming effective, Wynstock will use reasonable efforts to notify you via email, account login page, announcements on wynstock.com, or other means. Modifications will apply only to future purchases (including automated renewals). By licensing Content after modifications, you agree to be bound by the updated TOS.
THIS IS A SINGLE‑SEAT LICENSE AUTHORIZING ONE NATURAL PERSON to license, download, and use Content. Unless you upgrade to a “Team Subscription” or “Premier Platform” account, no other person (employees, co‑workers, contractors) may access your account or use Content licensed through it.
If you purchase a Team Subscription, the right to license, download, and use Content is limited to the number of users permitted by your subscription. Wynstock’s Premier Platform grants access and usage rights to unlimited users and includes additional entitlements.
If you’re purchasing a subscription service, such service is subject to Software‑as‑a‑Service Terms available on wynstock.com.

Definitions & Licensing Highlights

Content: Includes Images, Video, Editorial, and Music as licensed from wynstock.com.

Image License tiers – Standard vs. Enhanced – certain limits on reproduction, impressions, budget, or commercial uses like merchandise.

Video License: Standard License covers web/social use capped at 500,000 audience; Enhanced removes caps including broadcast or OTT rights.

Editorial License: Single in‑context use only, non‑commercial, not available for all items.
Restrictions general to all Visual Content include prohibitions on offensive uses, AI training, resale or distribution beyond license scope, use as logos/trademarks, or claims of authorship.
Music License Overview

Standard Music License: Synchronize music in personal or small‑scale productions distributed via web, social, or audio‐only platforms like podcasts (up to USD $4,999 promotion spend).

Enhanced Music License: Adds broader rights including broadcast TV, radio, video/DVD, software/apps distribution (within specified limits).

Comp Music License: Watermarked preview only for internal evaluation—no public use permitted.
Use restrictions include no sublicensing, redistribution as stock, pornographic or defamatory material, remixing beyond basic edits, or use as AI training data.
Additional Legal & Indemnification Terms

Warranties from Wynstock: We guarantee Content does not infringe rights, subject to compliance with TOS and lawful use. We disclaim warranties on keyword accuracy and audio in Video content.

Indemnity and Liability:

Wynstock will defend you against claims attributable to its breach of warranty up to defined caps (e.g. USD $10,000 for standard licenses, higher for enhanced or editorial licenses).

You indemnify Wynstock for any misuse outside permitted use.

Wynstock’s total liability is capped and does not cover consequential damages.

Termination, Refunds & Auto‑Renewals: Non‑refundable except under limited EU consumer protections. Subscriptions auto-renew unless canceled in your account.
Governing Law, Arbitration & Other Terms

Disputes resolved via binding individual arbitration under commercial arbitration rules, except for copyright or emergency relief claims.
